By accessing and using the services of Gajanan Clay Chem LLP ("Company," "we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

We manufacture and supply the following industrial mineral products:

• Bentonite (Sodium and Calcium grades)
• China Clay (Kaolin) in various grades
• Silica Sand for multiple applications
• Activated Bleaching Earth
• Fuller's Earth (Natural and Activated)
• Activated Carbon

All products are manufactured according to industry standards and specifications. Product specifications, grades, and availability are subject to change without prior notice.

Order Process

• All orders must be confirmed in writing (email or formal purchase order)
• Orders are subject to acceptance by the Company
• Minimum order quantities may apply as specified in our product literature
• Custom specifications require prior approval and may have extended lead times

Pricing

• Prices are quoted in Indian Rupees (INR) unless otherwise specified
• Prices are subject to change without prior notice
• Quoted prices are valid for 30 days from the date of quotation
• Prices exclude applicable taxes, duties, and delivery charges
• Volume discounts may be available for large orders

Payment terms are as follows:

• New Customers: Advance payment or Letter of Credit
• Established Customers: 15-45 days credit terms (subject to credit approval)
• Export Orders: Irrevocable Letter of Credit or advance payment
• Payment Methods: Bank transfer, demand draft, or approved credit terms

Late payments may incur interest charges at 18% per annum. The Company reserves the right to suspend deliveries for overdue accounts.

Delivery Terms

• Delivery terms are as per INCOTERMS 2020
• Standard delivery: FOB our factory or EXW terms
• Delivery timelines are estimates and not guaranteed
• Force majeure events may affect delivery schedules

Packaging and Handling

• Standard packaging: 25 kg HDPE bags, 50 kg industrial bags, or bulk delivery
• Custom packaging available upon request with additional charges
• Proper handling instructions provided with each shipment
• Storage recommendations included in product documentation

We are committed to maintaining high quality standards:

• All products manufactured under ISO 9001:2015 quality management system
• Certificate of Analysis (COA) provided with each shipment
• Products tested in our ISO/IEC 17025 accredited laboratory
• Specifications based on industry standards and customer requirements
• Quality complaints investigated promptly with corrective actions

Minor variations in specifications within acceptable industry tolerances do not constitute non-conformance.

Product Warranty

• Products warranted to meet specifications as per COA
• Warranty period: 12 months from date of delivery
• Warranty covers manufacturing defects only
• Proper storage and handling conditions must be maintained

Limitation of Liability

• Company's liability limited to the value of the specific shipment
• No liability for indirect, consequential, or special damages
• Customer responsible for proper product application and usage
• Technical support provided on best-effort basis

All intellectual property rights in our products, processes, and documentation remain with Gajanan Clay Chem LLP:

• Product formulations and manufacturing processes are proprietary
• Technical documentation and specifications are confidential
• Company trademarks and logos are protected
• Customer may not reverse engineer or replicate our products

The Company shall not be liable for delays or failures in performance due to circumstances beyond our reasonable control, including:

• Natural disasters, acts of God, or extreme weather conditions
• Government actions, regulations, or restrictions
• Labor disputes, strikes, or work stoppages
• Transportation delays or disruptions
• Raw material shortages or supply chain disruptions
• Power outages or utility failures

Both parties agree to maintain confidentiality of:

• Technical specifications and product formulations
• Pricing and commercial terms
• Business strategies and market information
• Customer lists and supplier information
• Any information marked as confidential

Confidentiality obligations survive termination of business relationship.

Any disputes arising from these terms or our business relationship shall be resolved through:

• Negotiation: Good faith discussions between parties
• Mediation: If negotiation fails, mediation through agreed mediator
• Arbitration: Binding arbitration under Indian Arbitration and Conciliation Act, 2015
• Jurisdiction: Courts in Ahmedabad, Gujarat shall have jurisdiction

These terms and conditions are governed by the laws of India. Any legal proceedings shall be conducted in the courts of Ahmedabad, Gujarat, India.

We reserve the right to modify these terms and conditions at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified terms.
